Terms of Service

1. Acceptance of Terms

By accessing or using the AAASP platform at aaasp.ai ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Description of Service

AAASP is a multi-tenant Agent-as-a-Service platform that allows registered tenants to define, deploy, and run AI agents via a JSON API and web dashboard. The Service includes agent orchestration, credential management, run history, billing credit management, and related developer tooling.

AAASP is made available under a dual-license model. The open-source core is licensed under the GNU Affero General Public License v3.0 (AGPL-3.0). The hosted Service at aaasp.ai is provided under a commercial subscription and these Terms govern that use. See our Licensing page for details.

3. Account Registration

You must register an account to use the Service. You agree to provide accurate information and to keep your credentials, including your API key, confidential. You are responsible for all activity that occurs under your account. Notify us immediately at support@aaasp.ai if you suspect unauthorized access.

You must be at least 18 years old and capable of forming a legally binding contract to register. Accounts are not transferable without our written consent.

4. Credits and Billing

The Service operates on a credit-based system. Credits are consumed when agents execute runs. Credits may be purchased via our billing interface. All purchases are final unless otherwise required by applicable law.

We reserve the right to modify credit pricing with at least 14 days' notice. We will not charge your payment method without your explicit authorization. Credit balances have no cash value and are non-refundable except as required by law or at our sole discretion.

We may suspend service if your account has zero credits or if a payment fails. We will attempt to notify you before suspension.

5. Acceptable Use

You agree to comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. Violations may result in immediate suspension or termination of your account without refund.

6. Intellectual Property

The AAASP platform software is dual-licensed (see Licensing). The AAASP name, logo, and brand marks are proprietary and may not be used without written permission.

You retain ownership of any agent definitions, prompts, skills, and data you upload to the Service. By uploading content, you grant AAASP a limited, non-exclusive license to store and process that content solely to provide the Service.

7. Third-Party AI Services

Agents you deploy may call third-party AI APIs (e.g., Anthropic, OpenAI) using credentials you provide. You are solely responsible for your compliance with the terms and policies of those third-party providers. AAASP is not responsible for the output of third-party AI models or for costs incurred on third-party platforms.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AAASP AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AAASP IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless AAASP and its affiliates from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

Either party may terminate the agreement at any time. You may stop using the Service and delete your account at any time. We may suspend or terminate your access for violations of these Terms, extended non-use, or at our discretion with reasonable notice.

Upon termination, your right to use the Service ceases. Provisions of these Terms that by their nature should survive (e.g., limitations of liability, indemnification) will survive termination.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which AAASP is incorporated, without regard to conflict of law principles. Any dispute shall be resolved through binding arbitration or in the courts of that jurisdiction, and you consent to personal jurisdiction there.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice in the dashboard at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
